In continuation of our earlier intimation dated October 4 2025 and pursuant to the shareholders approval dated October 30 2025 the Board of Directors at their meeting held today i.e. Monday December 1 2025 at 16:10 (IST) approved the allotment of 270000 (Two Lakh Seventy Thousand) fully paid-up equity shares of the Company having a face value of ? 10/- each at a premium of ? 240/- per share aggregating to ? 67500000 (Indian Rupees Six Crores Seventy Five Lakhs).Consequent to this allotment the paid-up equity share capital of the Company has increased from ? 54475900 (comprising 5447590 fully paid-up equity shares of ?10/- each) to ? 57175900 (comprising 5717590 fully paid-up equity shares of ?10/- each).

Resignation of Mr. Haresh Kantilal Parekh (DIN:09116527) as Independent Director of the Company with effect from the end of close of business hours on November 13 2025. Information as required under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 read with SEBI Circular No. CIR/CFO/ CMD/ 4/2015 dated September 09 2015 with respect to the resignation of the Independent Director is enclosed as Annexure 3.
