the Company stands amalgamated w.e.f. 01/04/2019 (the Appointed Date) and is not in existence now and hence the<BR> compliance reports/ disclosures required for the quarter ended 30th September 2020 and onwards of the Company are not being submitted to your Exchange.Further kindly note that in the financial results for the year and quarter ended 31st March 2020 of Titagarh Wagons Ltd (TWL) the figures for the year ended 31st March2020 include the results of TWL and its two erstwhile subsidiaries namely Cimmco and TCPL and therefore the financial results from the year and quarter ended 31st March 2020 onwards are also not being separately submitted by Cimmco to your Exchange.

We refer to the Order dated 30th September 2020 passed by the Honble National Company Law Tribunal Kolkata<BR> Bench (NCLT) sanctioning the Scheme of Amalgamation (Scheme) of Cimmco Limited (Cimmco) and Titagarh Capital<BR> Private Limited (TCPL) with Titagarh Wagons Limited (the Company). As per the sanctioned Scheme the shareholders<BR> of Cimmco shall be entitled to 13 equity shares of Rs. 2/- each fully paid up of the Company for every 24 equity<BR> shares of Rs. 10/- each fully paid held by them in Cimmco whose names appear in the Register of Members on the<BR> Record date or to their respective heirs executors administrators or other legal representatives or successor-in-title as the case may be.<BR> Pursuant to Regulation 42 of LODR we now write to inform you that the Board of the Company has fixed Friday the<BR> 23rd day of October 2020 as the Record Date for the purpose of allotment of shares of the Company to the<BR> shareholders of Cimmco as mentioned above.

We enclose herewith a certified copy of the Order dated 1st October 2020 issued by the NCLT and would request you to note that pursuant to the provisions thereof the Scheme has become effective from the said date. Further the Order has been filed with the concerned Registrar of Companies on 2nd October2020.<BR> As per the sanctioned Scheme the shareholders of Cimmco shall be entitled to 13 equity shares of<BR> Rs. 2/- each fully paid up of the Company for every 24 equity shares of Rs. 10/- each fully paid<BR> held by them on a record date to be determined by the Board which shall be communicated to the<BR> Exchange in due course. No consideration is payable in case of merger of TCPL (wholly owned<BR> subsidiary) since the shares held by the Company therein shall be cancelled.<BR> As both the Transferor Companies:Cimmco and TCPL stand amalgamated w.e.f. 01/04/2019(the<BR> Appointed Date) upon the Scheme having become effective this intimation can only be and is being<BR> issued only from the Transferee Company.

We wish to inform you that the final order dated September 30 2020 passed by the National Company Law Tribunal Kolkata (NCLT) sanctioning the Scheme of Amalgamation of the Company with its holding company: Titagarh Wagons Limited has been uploaded on official website of NCLT (the Order). Certified copies of the order have been applied for and upon issue thereof the Company will stand amalgamated with April 01 2019 i.e. the Appointed Date.<BR> A copy of the certified copy of the Order will be submitted by the holding company to your office promptly upon receipt.<BR> Please take the above on record.

We now write to inform you that National Securities Depositories Limited (NSDL) by its letter dated 18th September 2020 and Central Depository Services Limited (CDSL) by its email dated 18th September 2020 have intimated regarding change of RTA and shifting of electronic connectivity w.e.f. 19th September 2020. Thus MDPL shall be the RTA of the Company w.e.f. 19th September 2020.
