In compliance with SEBI (Prohibition of Insider Trading) Regulations 2015 and Code of Conduct to Regulate Monitor and Report Trading by Insider of Hemisphere Properties India Limited the Trading Window for dealing in securities of the Company is closed or all Directors/Officers/Designated Persons/Connected Persons of the Company from Thursday January 01 2026 till 48 hours after the Financial Results for the period ended on December 31 2025 are declared.The date of the Board meeting to consider and approve the financial results for the abovementioned period will be communicated later and in due course.

This is in reference to our intimation dated 17.12.2025 regarding the shifting of the Registered Office of the Company.In this connection it is hereby informed that due to an inadvertent typographical error the room number in the said intimation was incorrectly mentioned as Room No. 0924 instead of 0923. The correct Registered Office of the Company is Room No. 0923 9th Floor Sankalp Bhawan GPOA-II Kasturba Gandhi Marg New Delhi 110001.The change is only by way of correction in room number and the Registered Office continues to remain within the local limits of the same city.

Pursuant to the provisions of Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 as amended from time to time we wish to inform you that the Board of Directors of the Company has accorded its approval for shifting the Registered Office of the Company within the local limits of the same city with effect from 17 December 2025 from Room No. 144 C Wing Nirman Bhawan Maulana Azad Road New Delhi - 110001 to Room No. 0924 9th Floor Sankalp Bhawan GPOA-II Kasturba Gandhi Marg New Delhi 110001.You are requested to kindly take the above on record.

With reference to Stock Exchanges email dated 13.11.2025 & 14.11.2025 seeking clarification regarding any information or announcement that may have a bearing on the price or volume behaviour of the Companys scrip. In this regard we would like to inform you that as on date there is no pending information or announcement required to be disclosed to the stock exchanges in terms of the Materiality Policy framed by the Company under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (Listing Regulations).The movement in the price/volume of the Companys securities appears to be purely market-driven and not attributable to any unpublished price sensitive information.

The Exchange has sought clarification from Hemisphere Properties India Ltd on November 14 2025 with reference to Movement in Volume.<BR><BR>The reply is awaited.
