Pursuant to Special Resolution passed by the Members of Shakti Press Limited in AGM (IncludingRemote E-Voting) on September 26 2025 and pursuant to the In-principle Approvals granted by theBSE on January 02 2026 the Board of Directors of the Company has allotted 5230000 (Fifty Two LakhThirty Thousand) Fully Convertible Equity Warrants convertible into Equity Shares to 12 allottees onJanuary 17 2026 at an issue price of Rs. 27.25/- per warrant including a premium of Rs. 17.25/- perwarrant on preferential basis in second tranche in accordance with SEBI (Issue of Capital and DisclosureRequirements) Regulations 2018.

To Allot Fully Convertible Equity Warrants on a Preferential basis.

Approved the raising of funds through issuance and allotment of equity shares having face value of 10/- each up to anaggregate amount not exceeding Rs. 50 crore (Rupees Fifty Crore Only) on rights basis and on such terms (as decidedby the Board or a duly constituted committee of the Board at a later date) to the eligible equity shareholders of theCompany as on the record date (to be notified subsequently) subject to receipt of regulatory/ statutory approvals inaccordance with the applicable laws including the provisions of the Securities and Exchange Board of India (Issue ofCapital and Disclosure Requirements) Regulations 2018 SEBI Listing Regulations and the Companies Act 2013 andrules and regulations made thereunder each as amended from time to time and approved other related matters toimplement the proposal of Rights Issue.

Shakti Press Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 06/01/2026 inter alia to consider and approve To consider and evaluate the proposal for fund raising by way of issue of any instrument or securities through qualified institutional placement private placement/ preferential issue of securities/Right issue or through any other permissible mode and/or combination thereof as may be considered appropriate subject to such regulatory approvals as may be required including the approval of the members at a general meeting or through postal ballot and further subject to such statutory / regulatory approvals as applicable.
