Knowledge Marine & Engineering Works Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 12/02/2026 inter alia to consider and approve the Unaudited Standalone and Consolidated Financial Results of the Company along with the Limited Review Report for the quarter and nine months ended December 31 2025 and any other matter with the permission of the Chairperson.

We wish to inform you that the Board of Directors of the Knowledge Marine & Engineering Works Limited at their meeting held on today i.e. Friday January 30 2026 has considered and approved the scheme of Amalgamation of two wholly owned Subsidiary companies of the Company viz. (a) Indian Ports Dredging Private Limited and (b) Knowledge Infra Ports Private Limited with Knowledge Marine & Engineering Works Limited under Section 230 to 232 of the Companies Act 2013 read with relevant rules and regulations made thereunder.

We hereby submit a copy of certificate received from MUFG Intime India Private Limited Registrar and Share Transfer Agent certifying the requirements under Regulation 74 of the SEBI (Depository & Participants) Regulation 2018 for the quarter ended December 31 2025

Please find enclosed herewith Form C Disclosure in respect of Sell of shares by Designated person of the Company
