Dear SirThis is to inform you that Regulation 27(2) are not applicable to the company as per Reg 15 of Chapter IV of SEBI (LODR) 2015 as the paid-up equity share capital and net worth of the Company does not exceed Rs.10 crores and Rs.25 crores respectively on 31st March 2023. We further inform you that the paid-up share capital was Rs.89502000 and the Net Worth is well below the prescribed limit as on 31.03.2023. More over please note that as per SEBI circular we are eligible for exemption under Reg 15(2) of Corporate governance report and Annual Secretarial Compliance Certificate under Regulation 24A of SEBI (LODR) 2015 does not apply to us.We further inform you that whenever this regulation becomes applicable to the Company at a later date we will comply with Regulation 27(2) of SEBI (LODR) 2015 within six months from the date on which the provisions became applicable to the Company.For Vaishno Cement Company LimitedRajeshwari BangalDirectorDIN: 09440356
