Board of Vinaditya Trading Company approves bonus issue of shares

At meeting held on 07 September 2015

Vinaditya Trading Company announced that the Board of Directors of the Company at its meeting held on 07 September 2015, inter alia, have discussed the following matters:

1. The Board has approved and adopted new set of Article of Association (AOA) of the Company as per Companies Act, 2013.

2. The Board has approved the resolution for increase in Authorized Share Capital of the company from Rs. 45,00,000 to Rs. 7,50,00,000 and the same have been recommended to Members.

3. The Board has approved the Resolution for issue of Bonus Shares to the existing Shareholders in the proportion of 47 (Forty Seven) equity share for every 1 (one) existing equity share held by the Members.

4. The Board has approved to pass the above proposed Members Resolution through e-voting facility and accordingly approve the draft notice to be sent to all the Members along with Ballot Form.

5. The Board has considered the ratification of appointment of M/s. Sara & Associates as the Statutory Auditor of the Company in terms of provisions of Companies Act, 2013.

6. The Board has availed e-voting services from CDSL for the Annual General Meeting of the Company.

7. The Board has approved the Resolution for appointment of Aabid & Co., Company Secretary, Mumbai as scrutinizer for ascertaining the results of e-voting process.
