Cyber Media Ind Announcement

In compliance of Regulation 74(5) of the SEBI (Depositories and Participants) Regulations 2018 please find enclosed herewith copy of the Certificate received from the Registrar and Share Transfer Agent for the quarter ended December 31 2024.

Pursuant to the SEBI (Prohibition of Insider Trading) Regulations 2015 (PIT Regulations) as amended and the Companys Code of Conduct on Insider Trading the trading window for dealing in securities of the Company by the Designated Persons and their immediate relatives shall be closed for the purpose of the rights issue with immediate effect till January 23 2025.

CYBER MEDIA (INDIA) LTD.has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 21/01/2025 inter alia to consider and approve This is to inform that pursuant to Regulation 29 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 a meeting of the Board of Directors of the Company is scheduled to be held on Tuesday the 21st day of January 2025 inter-alia to consider and approve the following:(a) increase in authorised share capital of the Company; and(b) proposal of fund raising by way of rights issue.

This is in furtherance to our letter dated December 12 2024 whereby pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 we informed the stock exchanges about the settlement of the legal matter (Petition No. O.M.P. (EFA)(COMM.) 2/2023) pending in the Honble High Court of Delhi among (1) Mr. Ram Capoor Petitioner; and (2) Cyber Media (India) Limited and Mr. Pradeep Gupta (Respondents) vide Settlement Agreement dated December 12 2024 for a total sum of USD 1000000. The matter was fixed for hearing on January 13 2025.In this context we wish to inform that pursuant to the aforesaid settlement the Honble Court has disposed off the aforesaid petition today on January 13 2025. Coy of the Order is awaited.

Pursuant to Regulation 30 read with Para B of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (Listing Regulations) the Company has executed on December 31 2024 an Amendment Agreement to the Loan Agreement executed with Cyber Media Research & Services Limited subsidiary company (CMRSL) on February 07 2024 in respect of the loan of Rs. 9.85 crore taken by the Company from CMRSL.The details required under Regulation 30 read with Schedule III of the Listing Regulations and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13 2023 are enclosed as Annexure.
