Approval of Issue of Shares on Rights Basis.

Approval of issue of fully paid-up Equity Shares of the face value of ?1/- each for an amount aggregating up to ? 5000 Lakhs to all the eligible equity shareholders of the Company as on the record date (to be notified later) on a rights basis (Rights Issue) on such terms as may be decided by the Board of Directors or the Share issue committee subject to receipt of regulatory/statutory approvals in accordance with the applicable laws including the provisions of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations 2018 as amended SEBI LODR Regulations and the Companies Act 2013 and rules made thereunder as amended from time to time and approved other related matters.

Salem Erode Investments Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 04/04/2025 inter alia to consider and approve a proposal for raising further capital and to create offer issue and allot such number of equity shares through private offerings and/or preferential Issue and / or Rights Issue and /or through any other permissible mode in accordance with the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirement) Regulations 2018 and all other applicable laws.
