Suryo Foods and Industries Limited has proposed a rights issue of 2970000 fully paid-up Equity Shares of the face value of Rs. 10/- each for an aggregate amount not exceeding Rs. 594 lakhs on rights basis to the eligible shareholders of the company at a price of Rs. 20/- per equity shares (including premium of Rs. 10/- per equity share) in the ratio of 3 (Three) Rights Equity Shares for every 4 (Four) fully paid-up Equity shares held by eligible shareholders as on the Record date i.e. Wednesday 11th February 2026. Further the Board of Directors of the company has approved the Letter of Offer on 5th February 2026. In this regard please find enclosed the soft copy of Letter of Offer dated 5th February 2026 for the Rights Issue of the Company. the Company is also submitting this letter of Offer with SEBI for its information in compliance with SEBI(ICDR) Regulation 2018 as amended and SEBI Circular bearing no. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2025/31 dated 11th March 2025.

The Board of Directors of Suryo Foods and Industries Limited (The Company) in compliance with Regulation 42 of Listing Regulations has fixed the Record Date as Wednesday 11th February 2026 for Rights Issue of equity Shares to determine the shareholders who will be eligible to receive the Rights Entitlements under the Rights Issue.

Further to the in-principle approval received from BSE Limited vide its letter dated January 30 2026 for the proposed Rights Issue of the Company we hereby inform you that the Board of Directors at their meeting held today i.e. on February 5 2026 have approved the terms of the Rights Issue and the final letter of offer.

Suryo Foods & Industries Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 05/02/2026 inter alia to consider and approve In compliance with Regulation 29(1)(d) and other applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 we hereby inform you that the in-principle approval from BSE Limited dated January 30 2026 has been received by the Company and a meeting of the Board of the Company is scheduled to be held on Thursday February 5 2026 to inter-alia consider and decide on various matters in connection with aforesaid Rights Issue such as determination of Issue price Rights Entitlement ratio Record date and other terms and conditions with respect to the Rights Issue.

In compliance with Regulation 33 of SEBI(Listing Obligation and Disclosure Requirements) Regulation 2015 we herewith enclosing the Un-audited Financial Results along with Limited Review Report of Auditors of the company for the 3rd quarter ended 31st December 2025 which have been taken on record at the meeting of the Board of Directors held today 19th January 2026
