NIIT Ltd board has approved the purchase of an additional 19.50 lakh equity shares of NIIT Institute of Finance Banking and Insurance Training Ltd (IFBI) to fully acquire the subsidiary, according to an exchange filing.
NIIT holds 80.72 per cent stake in IFBI, and post the aforesaid acquisition, IFBI will become its wholly owned subsidiary, the filing stated.
The shares will be acquired from ICICI Bank Limited (1.9 million shares, 18.79 per cent stake) and individual shareholders (50,000 shares, 0.49 per cent stake).
The aggregate consideration for the acquisition of shares from ICICI Bank is expected to be between Rs 4.7 crore and Rs 6.5 crore.
The acquisition is expected to be completed by September 30, 2025, according to the filing on Saturday.
"As a strategic business decision, NIIT Limited has agreed to acquire 1,900,000 equity shares of IFBI from ICICI Bank Limited and 50,000 equity shares of IFBI from Individual shareholders," the filing read.

Delhi Chief Minister Rekha Gupta on Sunday flagged off 1,111 tankers fitted with a location tracking system to boost water supply in the city during the summer.
The system will enable the tankers' location to be tracked on an IT dashboard from the Delhi Jal Board headquarters.
"This is a step towards complete transparency. This is not the final solution, we will work on a new town plan to provide water from the tap to every resident," Gupta said during the ceremony marking 60 days of her government in Burari.
Water Minister Parvesh Verma, Environment Minister Manjinder Singh Sirsa, BJP MPs and MLAs were present at the event.

Three people were killed and more than 100 rescued after heavy rain triggered flash floods at different places in Jammu and Kashmir's Ramban district early on Sunday, officials said.
The incessant rain also triggered landslides and mudslides at nearly a dozen places between Nashri and Banihal along the strategic Jammu-Srinagar National Highway, prompting traffic to be suspended, they said.
The officials said a cloudburst struck the Seri Bagna village of Ramban, resulting in the deaths of three persons, including brothers Aqib Ahmad and Mohd Saqib.
The rescue operation in the village was continuing when the last reports were received, they said.
With the latest fatalities, five people have lost their lives in rain-related incidents in the Jammu region in two days. Two people, including a woman, were killed and another woman injured when they were struck by lightning in the Arnas area of Reasi district late on Saturday.

The Rajya Sabha on Thursday returned the Finance Bill 2025 to the Lok Sabha, along with 35 government amendments, including one that abolishes a 6 per cent digital tax on online advertisements, thus completing the 2025-26 budgetary exercise that started on February 1.
