Reliance Retail, the country's leading retailer, has completed the internal restructuring process, in which its consumer business has been transferred on a going-concern basis to a new entity -- New Reliance Consumer Products Ltd (New RCPL).
New RCPL has now become a direct subsidiary of Reliance Industries Ltd (RIL), in which the billionaire Mukesh Ambani-led group will hold an 83.56 per cent stake, according to a late-night regulatory filing on Monday.
As per the scheme of arrangement among Reliance Retail Ltd (RRL) and Reliance Retail Ventures Ltd (RRVL) and their shareholders and creditors, and Reliance Consumer Products Ltd (RCPL), it has transferred the FMCG brands business from RRL to a new entity named New Reliance Consumer Products Ltd (New RCPL).
The "scheme has become effective from December 01, 2025, and in terms of the Scheme, RCPL, a subsidiary of the company, stands dissolved effective December 01, 2025," it said.

An estimated 7.94 per cent of voters exercised their franchise in the first two hours of polling on Tuesday for elections to 264 municipal councils and nagar panchayats in Maharashtra, officials said.
Two suspected bogus voters were caught at a polling station in Buldhana barely an hour-and-a-half after voting began for the municipal council elections there, the Maharashtra Congress claimed.
It also alleged that Shiv Sena MLA Sanjay Gaikwad was bringing people to cast "bogus" votes in the Buldhana Municipal Council elections.
There was no immediate response from the authorities on the allegation.
The polling began at 7.30 am and will conclude at 5.30 pm, election officials said.
Till 9.30 am, 7.94 per cent of the electors cast their votes, they said.

Healthcare industry body NATHEALTH has asked the government to increase public spending on healthcare to over 2.5 per cent of GDP with urgent action to tackle non-communicable diseases, including tax deductions of up to Rs 10,000 on individuals for preventive health check-ups.
In its pre-Budget recommendations to the government, NATHEALTH said it outlined a roadmap to strengthen healthcare delivery, foster innovation, and expand insurance and preventive coverage.
The recommendations call for a balanced mix of fiscal support, structural reforms, and public-private collaboration to build a robust, future-ready health system, it said in a statement.
In its recommendations, NATHEALTH asked the sector to be declared 'core infrastructure' and create a healthcare infrastructure fund of Rs 50,000 crore, saying currently there is limited access to long-term, lower-cost capital for hospitals and diagnostic networks.
