Competition Comm approves Toshiba Corporation-TBJH deal

Fair trade regulator CCI has approved the proposed deal involving Toshiba Corporation and TBJH Inc, an indirect subsidiary of private equity firm Japan Industrial Partners. The deal has been cleared under the green channel route. The combination relates to TBJH Inc acquiring the complete shareholding of Toshiba Corporation. Toshiba is a Japanese multinational conglomerate. In March, TBJH Inc announced that it will buy out all of Toshiba's shares listed on the Nagoya and Tokyo stock exchanges and take the business private. The Competition Commission of India (CCI) said it has cleared the deal. "The parties (including their affiliates) activities do not exhibit any horizontal, vertical, or complementary overlaps in any of the plausible relevant markets in India. Vistara CEO Vinod Kannan on Monday said the airline will submit its response to the Competition Commission's queries on the proposed merger with Air India by the end of this month and expressed confidence of receiving all regulatory approvals by early next year. The Competition Commission of India (CCI) has sought more details on the merger of Vistara with Air India, a deal that was announced in November last year. "There are certain questions that have been asked. We are going to give our response to the CCI by the end of this month. Then, the CCI will decide whether it needs to go to phase two or needs further clarification," Kannan said here. As per CCI norms, in case there are anti-competitive concerns, it can go for a detailed scrutiny which is generally called phase two of the approval process. NCLAT dismisses All India Chess Federation's appeal against CCI order

The National Company Law Appellate Tribunal (NCLAT) has dismissed the appeal of the All India Chess Federation against an order passed by the fair trade regulator CCI on grounds of non-prosecution by the sports body. Appellate tribunal NCLAT, in its order, said the All India Chess Federation (AICF) has taken several adjournments despite being indicated on May 19, 2022, that no further adjournment shall be granted. The order said that on several occasions hearing has been adjourned on the prayer made by the federation on August 5, 2022, September 23, 2022, and December 12, 2022. "Today again a prayer for adjournment has been sought. It appears that the appellant is not interested to pursue the appeal. The appeal stands dismissed due to non-prosecution," said NCLAT in its order dated July 11, 2023. Pricol gets relief from Madras High Court in tussle with Minda Corp

Auto components maker Pricol Ltd on Thursday said it has moved the Madras High Court challenging the validity of the application of rival Minda Corporation to the Competition Commission of India to acquire a 24.5 per cent stake in it. Minda Corporation had earlier this month decided to approach the CCI to increase its stake in Pricol to up to 24.5 per cent, following the acquisition of a 15.7 per cent stake by purchasing over 1.91 crore shares of the latter from the open market on February 17, 2023. The Competition Commission of India (CCI) on Friday said it has granted its approval for the stake acquisition in climate technologies' business of Emerson Electric Co by BCP Emerald Aggregator LP. BCP Emerald Aggregator LP is an affiliate of US-based alternative asset manager Blackstone. The deal has been cleared under the green channel route. The proposed transaction relates to the acquisition by BCP Emerald Aggregator LP (Buyer) of a majority stake in the climate technologies business of Emerson Electric Co (Seller), according to CCI. The regulator has also approved the proposed investment by Stamford Bridge Investment Pte Ltd, an SPV of GIC (Ventures) and Platinum Falcon B 2018 RSC Ltd (Platinum), in BCP Emerald Aggregator LP. Fair-trade regulator CCI on Thursday said it has approved the acquisition of SREI Infrastructure Finance by National Asset Reconstruction Company Ltd and India Debt Resolution Company Ltd. The deal has been cleared under the green channel route. National Asset Reconstruction Company Ltd (NARCL) is an asset reconstruction company while India Debt Resolution Company Ltd (IDRCL) provides debt management services to NARCL. Both entities are backed by the Government of India. The proposed transaction involves the acquisition of a majority of equity share capital of the Srei Infrastructure Finance (SIFL) by NARCL and IDRCL, according to a CCI notice. NARCL has submitted a resolution plan in relation to the corporate insolvency resolution process (CIRP) of SIFL and its wholly-owned subsidiary, SREI Equipment Finance Ltd (SEFL). Government invites applications for CCI Chairperson post till March 9

The government on Thursday invited applications for the post of Chairperson of the Competition Commission of India (CCI). Since October 25, the post has been lying vacant. According to a public notice issued by the corporate affairs ministry, the applicants should have professional experience of at least 15 years in international trade, economics, business, commerce, law finance, accountancy, management, industry, public affairs or competition matters, The person, if selected, can hold the office for a term of five years from the date of joining the post or till the age of 65 years, whichever is earlier.
