With reference to the earlier announcement dated June 24 2025 regarding Notice of Offer for sale of equity shares of Timex Group India Ltd (the Company) Timex Group Luxury Watches B V is the promoter of the Company (the Promoter or seller) has now informed BSE as under :<BR><BR>We refer to the notice dated June 242025 (Notice) sent by the Seller to the BSE Limited (BSE or Stock Exchanges) wherein Timex Group Luxury Watches B V proposed to sell up to 7571250 Equity Shares of the Company (representing 7.50% of the total issued and paid up equity share capital of the Company) (Base Offer Size) on June 25 2025 (T Day) (for non-Retail Investors only) and on June 26 2025 (T+1 Day) (for Retail Investors and for non-Retail Investors who clroose to calry forward their un-allotted bids) with an option to additionally sell up to 7571250 Equity Shares (representing 7.50% of the total issued and paid-up equity share capital of the Company) (the Oversubscription Option and in the event the Oversubscription Option is exercised the Equity Shares forming part of the Base Offer Size and the Oversubscription Option to the extent exercised will in aggregate be referred to as the Offer Shares. In the event such Oversubscription Option is not exercised the Equity Shares forming part of the Base Offer Size will be referred to as the Offer Shares) through a separate designated window of the Stock Exchange in accordance with the OFS Guidelines (such offer hereinafter referred as the Offer).<BR><BR>In this connection we wish to exercise the Oversubscription Option to the extent of 7511250 Equity Shares (representing 7.50% of the total issued and paid-up Equity Share capital of the Company) in addition to 7571250 Equity Shares of the Company (representing 7.50% of the total issued and paid-up Equity Share capital of the Company) forming part of the Base Offer Size. Accordingly the total Offer Size will be up to 15142500 Equity Shares (representing 15.00% of the total issued and paid-up Equity Share capital of the Company) as on June 20 2025.<BR><BR>All capitalised terms not defined in this intimation letter shall have the same meanings as ascribed to them in the Notice filed with the Stock Exchange.
