Rudrabhishek Enterprises Ltd (REPL), which offers consultancy for integrated urban development and infrastructure, has received registration for Small and Medium Real Estate Investment Trusts (SM REITs) from market regulator SEBI. The approval is under the name ImpactR SM REIT, REPL said in a statement on Thursday. This is the second SM-REIT in India to receive this registration following the new regulations. "We will soon be launching our first IPO (Initial Public Offering) under ImpactR SM REIT. Markets regulator Sebi has notified rules allowing companies to delist shares through a fixed price mechanism as an alternative to the reverse book building process, a move aimed at facilitating ease of doing business for listed firms. Under the Reverse Book Building (RBB) process, a firm planning to delist its shares from the stock exchange needs to initiate the process by making a public announcement. The rules mandated a minimum floor price for the delisting offer. Further, shareholders of the company place offers to sell their securities back to the promoters or large shareholders under the process. In its notification on Wednesday, Sebi introduced the fixed price process as an alternative to the RBB process for delisting of companies whose shares are frequently traded. The fixed price offered by an acquirer would be at least 15 per cent premium over the floor price. Markets regulator Sebi on Thursday issued operational guidelines for Foreign Venture Capital Investors (FVCIs) outlining procedures for registration, compliance, and investment activities Also, the Securities and Exchange Board of India has issued operational guidelines for Designated Depository Participants (DDPs). The guidelines are aimed at helping FVCIs and DDPs transition smoothly to the amended FVCI regime, which will come into effect on January 1, 2025. Under the guidelines, Sebi has outlined procedures for FVCI registration, compliance, and investment activities and also specified the role of DDPs. The regulator has set a deadline of March 31, 2025, for all existing FVCIs to engage with a DDP. Failing to do so will restrain FVCIs from making any new investments. Sebi on Thursday decided to reduce the timeline for listing of public issue of debt securities to three working days from six days at present, to facilitate faster access to funds. This new timeline will be optional for the first year and mandatory thereafter. "It has been decided to reduce the listing timeline in case of public issue of debt securities and NCRPS to T+3 working days from the existing timeline of T+6 working days," the Securities and Exchange Board of India (Sebi) said in a circular. The move would help in enabling faster access to funds for issuers. Also, the move would align the listing timeline in case of the public issue of debt securities and non-convertible redeemable preference shares (NCRPS) with that of non-convertible securities issued on a private placement basis and specified securities. The proposed IPO is a mix of fresh issue of equity shares worth Rs 325 crore and an offer for sale (OFS) of Rs 328 crore by promoters, according to the draft red herring prospectus (DRHP). To streamline the application process for public issues of debt securities, markets regulator Sebi on Tuesday asked individual investors applying for amounts up to Rs 5 lakh through intermediaries to use only UPI to block funds. Further, investors will continue to have the choice of availing other methods like applying through Self-Certified Syndicate Banks or the stock exchange platform for making applications, Sebi said in its circular. Capital markets regulator Sebi on Tuesday imposed a penalty of Rs 9 lakh on BGR Energy Systems for disclosure lapses to the stock exchanges and flouting other market norms. The order came after the Securities and Exchange Board of India (Sebi) conducted an examination in the matter of BGR Energy Systems Ltd (BGR) listed on the BSE and NSE. The investigation was to ascertain whether there was any violation of the provisions of LODR (Listing Obligations And Disclosure Requirements) regulations by BGR Energy Systems. During the examination, the regulator observed that BGR had allegedly failed to comply with the provisions of disclosure norms and various Sebi rules. Thereafter, the market watchdog initiated adjudication proceedings against the noticee (BGR Energy Systems) and issued a show-cause notice to the company on August 2, 2024. The regulator observed that BGR has admittedly uploaded the audited financial statements of its subsidiary companies viz, BGR Boilers Pvt Ltd and BGR .
Markets regulator Sebi on Tuesday issued guidelines on the parameters for the performance evaluation of market infrastructure institutions (MIIs), comprising stock exchanges, clearing corporations and depositories by independent external agencies. The guidelines are aimed at ensuring consistency and uniformity for evaluations to be done by independent external agencies. For performance evaluation criteria, Sebi said the evaluation will be based on seven key criteria - technology resilience (40 per cent), investor education (17 per cent), regulatory compliance (15 per cent), governance practices (8 per cent) and 5 per cent each for adequacy of resources and fair access and treatment to all stakeholders and information disclosure. MIIs are required to appoint independent external agencies to evaluate their performance every three years. More than 91 per cent, or 73 lakh, individual traders lost money in the F&O segment in FY24 with an average net loss of Rs 1.2 lakh per person, a study conducted by markets regulator Securities and Exchange Board of India (SEBI) revealed on Monday.
