Leading telecom operator Bharti Airtel along with its wholly owned subsidiary Telesonic Network has approached the NCLT over their scheme of demerger, under which latter will have an independent fibre cable business.
Both the companies had moved their first motion application before the tribunal and have sought permission to convene meeting of their stakeholders, including shareholders and creditors for this.
A two member National Company Law Appellate Tribunal (NCLT) bench headed by President M M Kumar has reserved its order.
On November 1, 2017 Bharti Airtel had said that it will transfer the optical fibre business to Telesonic Networks for a valuation of up to Rs 5,650 crore.
The optical fibre business of Bharti Airtel includes both underground and overground fibres.
Bharti Airtel had said it is transferring the cable business based on cash consideration of Rs 4,564.7 crore.
It will be subject to upward adjustment on account of incremental capital expenditure, working capital and the like incurred by the transferor company up to the date the deal is signed, the company had said.
