Sebi to auction HBN Dairies properties, keeps reserve price at Rs 67.7 cr

Capital markets regulator Sebi will auction eight properties of HBN Dairies & Allied Ltd next month for a reserve price of Rs 67.70 crore. The move is a part of Sebi's effort to recover money raised by HBN Dairies through illicit collective investment schemes. This came after the Supreme Court in its order dated May 14, 2024, authorised Sebi to sell the assets of HBN Dairies & Allied Ltd (HBN) with the active involvement of the liquidator. The markets watchdog initiated the process for the sale of assets after HBN Dairies & Allied Ltd and its directors -- Harmender Singh Sran, Amandeep Singh Sran, Manjeet Kaur Sran and Jasbeer Kaur -- failed to refund the investors' money. The properties to go under the hammer include a shopping mall-cum-multiplex, hotel, plots and commercial shops, the Securities and Exchange Board of India (Sebi) said in a notice on Wednesday. The properties were located in New Delhi, Punjab, Madhya Pradesh, Gujarat and Maharashtra and were auctioned at .

Sebi sets new filing requirements for AIFs opting for dissolution period

Markets regulator Sebi on Tuesday issued a circular outlining the filing requirements for alternative investment funds (AIFs) schemes that opt for a dissolution period to deal with their unliquidated investments. The move aims to provide flexibility to AIFs and their investors in managing such investments that are not sold due to lack of liquidity. In its circular, Securities and Exchange Board of India (Sebi) said AIF schemes entering into dissolution period must file an information memorandum with it through a merchant banker before expiry of the liquidation period or additional liquidation period of the scheme. The format for this information memorandum and the due diligence certificate to be submitted by the merchant banker. As per Sebi's AIF rules, the information memorandum must include details such as the name of the AIF, registration number, the names of its trustees or directors, the scheme's name, and financial details related to unliquidated investments. Sebi invites public inputs on proposed changes to REIT, InvIT rules

Capital markets regulator Sebi on Tuesday said it has sought public views on the proposed amendments to the master circulars for REITs and InvITs. In a consultation paper, Sebi said these amendments will provide clarity on the nomination rights of directors to the boards of REIT (Real Estate Investment Trusts) and InvIT (Infrastructure Investment Trusts) managers. In the proposed amendments, the markets watchdog has addressed market participants' requests for clarification on the rights of unitholders to nominate a director to the board of the investment manager or manager of REITs and InvITs. The changes propose that the restriction on nominating a unitholder nominee director will not apply if the right to appoint a nominee director is available as per the Sebi (Debenture Trustees) regulations. Markets regulator Sebi has issued a consultation paper on the treatment of interest income earned by the clearing corporations from cash collaterals from clearing members and upstreamed client funds. Sebi had previously mandated the upstreaming of all client funds to Clearing Corporations (CCs) at the end of the day, allowing these funds to be upstreamed only in the form of cash, fixed deposit liens, or mutual fund overnight scheme pledges. In its consultation paper, the regulator noted that clearing corporations have been holding substantial cash collaterals from Clearing members (CMs) towards settlement obligations and margin money, investing or deploying these funds to earn interest or income. However, the collaterals held by CCs, are not owned by them and are instead held in a fiduciary capacity as per regulatory requirements. The Sebi-appointed expert group on exchange-traded derivatives started discussions on seven proposals to address regulatory issues and protect small investors from risks in index and stock option trading, sources said. The panel members would recommend short-term strategies to bolster investor protection and improve risk metrics in this market segment, they said. "The expert group would deliberate in detail the pros and cons of each of the seven proposals to protect small investors engaged in futures and options (F&O) trading. Sebi issues guidelines to streamline operations of credit rating agencies

Markets regulator Sebi has issued new guidelines to streamline operations and enhance the ease of doing business for credit rating agencies. The circular introduces specific timelines for dealing with appeals made by companies regarding rating actions carried out during periodic surveillance of ratings. These modifications will be applicable, with effect from August 01, 2024, the Securities and Exchange Board of India (Sebi) said in a circular on Thursday. "In order to promote ease of doing business and bring about uniformity in dealing with appeals, based on consultation with stakeholders, including CRAs (Credit Rating Agencies), it has been decided to provide specific timelines for dealing with appeals made by the issuer in respect of rating actions carried out pursuant to periodic surveillance of ratings," it added.
