Woodley is in early talks to join Andrew Garfield as the red-headed love interest of Peter Parker and his web slinger alter-ego, the Hollywood Reporter said.
The role was previously played by Kirsten Dunst in the Tobey Maguire Spider-Man trilogy.
Columbia just closed deals with Marc Webb to return as the director after he successfully rebooted the franchise with 'Amazing Spider-Man', which grossed USD 752 million worldwide.
Garfield is also reprising the title role while Emma Stone is slated to return as Gwen Stacy, as the story moves towards a love-triangle.
