Devyani to acquire 80.72% stake in Sky Gate Hospitality for ₹419.6 cr

Quick service restaurant chain operator Devyani International Ltd on Thursday said it will acquire up to 80.72 per cent stake in Sky Gate Hospitality, which operates brands including 'Biryani By Kilo', for Rs 419.6 crore. The acquisition includes three brands of Sky Gate -- Biryani By Kilo, Goila Butter Chicken, and The Bhojan. The company's board in its meeting approved acquisition of up to 80.72 per cent equity stake for Rs 419.6 crore, on fully diluted basis, in Sky Gate Hospitality Pvt Ltd along with its subsidiaries, Devyani International Ltd (DIL) said in a regulatory filing. In addition, the company will also pay contingent consideration as per the terms of the transaction documents, DIL said. DIL operates quick service restaurant chains such as KFC, Pizza Hut, and Costa Coffee through franchise agreements. Hotel restaurants charge 18% GST if room rent exceeds Rs 7.5K per day: CBIC

Hotels charging a room rent above Rs 7,500 a day at any time in any financial year will be considered 'specified premises' for the next fiscal and restaurant services provided inside such premises will attract 18 per cent GST with input tax credit, the CBIC said on Thursday. From April 1, 2025, the taxability of such restaurants which operate inside hotels will be on the basis of value of supply (transactional value). This would replace the concept of 'declared tariff' which included charges for all amenities provided in the unit of accommodation (given on rent for stay) like furniture, air conditioner, refrigerators or any other amenities, but without excluding any discount offered on the published charges for such unit. "For the period starting from 01.04.2025, the value of supply of hotel accommodation in the previous FY, i.e., the transaction value charged for the said supply, would be the basis for determining whether the premises providing hotel accommodation service mandatoril

NRAI warns restaurants about aggregator payment gateways, deep discounting

The National Restaurant Association of India has issued an advisory cautioning its members over deep discounting and payment gateway tools offered by aggregator platforms for dine-in operations. The advisory comes when food delivery giants including Zomato and Swiggy are aggressively focusing on expanding their dine-in customer base. NRAI urged restaurants to use aggregator payment platforms only if the payment gateway services are unbundled from the other services that it offers; and makes financial sense as a payment gateway independently compared to other payment gateways. In its advisory, NRAI asserted that aggregators use deep discounting as a tool to attract customers, including the restaurant's regular customers, to their platforms. The customers are then incentivised to participate through aggressive cashback and discounts, which eventually move the restaurants' existing customers to their platforms. Food and grocery delivery platform Swiggy on Tuesday launched marketing solutions to drive customer engagement for restaurant partners. This offering, accessible to partners PAN-India, aims to support restaurants to boost their online brand presence by leveraging social media platforms, such as Facebook, Instagram and WhatsApp. The services include influencer marketing, social media ads on Facebook and Instagram, and WhatsApp marketing.
