BUSINESS STANDARD

NOTICES UNDER TAKEOVER CODE

BSES: In terms of regulation 7 (1A) of Sebi, substantial acquisition of shares and takeovers) regulations 1997, Reliance Power Ventures has informed that along with Reliance Industries it has acquired 28,28,545 (2.05 per cent) shares of BSES during 18.09.2002 to 24.09.2002 through market purchase. After this acquisition their shareholding in the company is 5,83,18,139 (42.34 per cent) shares.

Crompton Greaves: In terms of regulation 7 of Sebi, (substantial acquisition of shares & takeover) regulations 1997, the company has informed that Solaris Chemtech (formerly known as Bilt Chemicals) has acquired 50,000 (0.10 per cent) shares on 19th and 20th September, 2002, through market purchase. After this acquisition their shareholding in the company will be 15,90,180 (3.04 per cent) shares in the company.

 

Gini Silk Mills: In terms of regulation of Sebi, (substantial acquisition of shares and takeovers) regulations 1997, Deepak Harlalka has informed that he has acquired 2,600 shares on market at Rs 12 per share of the company.

Mather & Platt Fire Systems: In terms of regulation 3 of Sebi, substantial acquisition of shares and take over regulations, 1997, Mather & Platt India Ltd has informed that they proposed to acquire 17,35,229 (51 per cent) equity shares of Mather and Platt Fire Systems Ltd, from Mather & Platt II Ltd, Mauritius, at Rs 50 per share. Date proposed acquisition is 30/09/2002.

INSIDER TRADING NOTICES

Cholamandalam Invest & Finance: In terms of regulation 13 (4) of Sebi, (insider trading regulations), the company has informed that its director M A Alagappan has informed the company vide letter dated 21/09/2002 that he has purchased 11734 shares of Rs 10 each of the company on 20/09/2002. Consequent to the same his holding in the company is 98382 equity shares.

Kale Consultants: In terms of regulation 13(6) of Sebi, (insider trading regulations), the company has informed that following persons hold more than 5 per cent of the equity share capital of the company: V P Jain, 9,14,400 (7.95 per cent) shares; N H Kale, 11,90,000 (10.35 per cent) shares; Nanda Kale, 6,02,600 (5.24 per cent) shares; S H Kale, 8,73,700, (7.60 per cent) shares.

Vital Communications: In terms of regulation 13(2) of Sebi, (insider trading regulations), the company has informed that Rajesh Kumar, company secretary, has informed on 20/09/2002 that he has nil holding of shares of the company.

SHARE DEALS

Cholamandalam Invest & Finance: The company has received an intimation dated 18/09/02 from director M A Alagappan regarding his purchase of 5036 equity shares of Rs 10 each of the company on 17/09/02. Consequent to this, his individual shareholding in the company is 86648 equity shares of Rs 10 each.

Ion Exchange (India): Rajesh Sharma, managing director, and M P Patni, director of the company, have on 18/09/02 purchased 94,250 and 16,700 equity shares of the company, respectively. Post acquisition, their holdings are 118936 and 32782.

Medicorp Technologies India: The company has received a declaration from P V Indiresan, director of the company, stating that Jayalakshmi Indiresan, wife of P V Indiresan, has purchased 4300 equity shares of Medicorp Technologies in the open market during valid trading window period.

RIGHTS ISSUE

Karnataka Bank: The bank will now offer right shares in the ratio of 1 equity share of Rs 10 each for every 2 shares held on record date.

SHARE EXTINGUISHMENT

Finolex Industries: DSP Merrill Lynch has informed that the company has on 20.09.02 extinguished 15,731 shares of the company, pursuant to buy back.

STOCK OPTIONS

Gujarat Ambuja Cements: The company has informed that the share allotment and investor grievance committee in its meeting held on 17/09/2002, has allotted 8325 equity shares on exercise of the stock options by the employees under ESOS 2000-2001 scheme.

Ion Exchange (India): A meeting of the Employees Stock Option Compensation Committee will be held on 01/10/02 for the purpose of allotment of shares granted and exercised under the company
