Scapegoats?

Section 5 of the Companies Act provides what is termed as meaning of officer in default. It fixes the responsibility of a designated officer for compliance of various provisions of the Act. It states that any person charged by the board with the responsibility of complying with that provision will be held responsible...provided that the person so charged has given his consent on that behalf to the board. Such a provision should be made in the Factories Act and all other acts too.
